1. Introduction & Applicability

These Terms of Service ("Agreement") govern the use of services provided by Anvil Labs LLC ("Anvil Labs"). By using our services, you agree to be bound by this Agreement unless a separate contract is agreed upon.

Waiver of Jury Trial and Class Action
By agreeing to these terms, you waive your right to a jury trial and the right to participate in a class-action lawsuit.

Customers
This Agreement applies to both businesses and individuals using the services provided by Anvil Labs.

2. Service Definitions

Services Provided
Anvil Labs provides cloud-based software services and professional consultation services.

Free Trials and Paid Services
We offer both free trials and paid services. The terms of each may vary and will be outlined at the time of subscription.

Third-Party Services
Some of the services offered may include third-party integrations or content. Anvil Labs is not responsible for the performance or content provided by third-party services.

3. Licensing & Access

Subscription-Based Services
Our services are offered on a subscription basis with terms that include automatic renewals unless canceled according to the termination policy.

Non-Transferable License
The use of Anvil Labs services is non-transferable and non-sublicensable. You may not sell, resell, or lease the services without express written permission.

4. Obligations of Anvil Labs LLC

Service Availability
Anvil Labs will use commercially reasonable efforts to ensure that services are available 24/7, except during planned maintenance or due to external factors beyond our control (e.g., force majeure events).

Data Privacy and Security
We follow industry-standard security practices and comply with all relevant laws, including GDPR and CCPA, to ensure the protection of customer data.

Legal Compliance
Anvil Labs services comply with all applicable laws, including GDPR and CCPA, where relevant.

5. Customer Responsibilities

Fair Use Policy
Customers are required to follow our fair use policy to ensure services are used equitably. Excessive usage or misuse may result in service restrictions.

Content Responsibility
Customers are solely responsible for the legality, accuracy, and quality of the content they upload or use within the services.

Unauthorized Use
Anvil Labs reserves the right to suspend or terminate customer access if unauthorized use or misuse of services is detected.

6. Fees & Payments

Payment Terms
Payments for services are due upon receipt of the invoice. Any unpaid balances may result in service suspension or termination.

Taxes
Customers are responsible for paying any applicable taxes associated with the services they purchase.

7. Proprietary Rights

Intellectual Property Ownership
Anvil Labs retains full ownership of the services and content we provide. Customers retain ownership of the content they upload to or use with our services.

License to Use Customer Content
Customers grant Anvil Labs a limited license to use their content for the provision and improvement of services. This does not grant Anvil Labs any ownership over customer content.

8. Confidentiality & Security

Confidential Information
All non-public data, including business practices shared by both parties, will be considered confidential. Both parties must use reasonable care to protect this information from unauthorized disclosure.

Security Measures
Anvil Labs will maintain administrative, physical, and technical safeguards to ensure the security and confidentiality of customer data.

9. Limitation of Liability & Indemnification

Limitation of Liability
‍Anvil Labs’ liability for any damages is limited to the total amount paid by the customer for services in the 12 months prior to the incident that caused the liability.

Indemnification
‍Customers agree to indemnify and hold Anvil Labs harmless from any misuse of services, illegal activities, or breaches of these terms.

10. Termination & Suspension

Termination Conditions
‍Either party may terminate this Agreement with 30 days' written notice in case of material breach. Anvil Labs may also suspend services for overdue payments or misuse of services.

Refund Policy
‍Refunds will be issued for any unused services if the customer terminates the agreement due to Anvil Labs' breach of contract.

11. General Provisions

Governing Law
‍This Agreement is governed by the laws of the State of Florida, USA.

Dispute Resolution
‍Any disputes arising under this Agreement will be resolved in the state or federal courts located in Florida.

Assignment
Either party may assign this Agreement in cases of mergers, acquisitions, or transfers, provided prior notice is given to the other party.
